Representations & warranties insurance has reshaped the M&A landscape over the last decade — changing deal dynamics, risk allocation, and negotiation strategy. During this lunch talk, Vinson & Elkins will introduce students to how R&W insurance works in practice, the role it plays in getting deals closed, and the types of career paths available to lawyers in this space.

V&E partner Sarah Mitchell, head of V&E’s transactional insurance practice, and V&E alum Matt Wiener, Co-Head of Aon Transaction Solutions, will discuss how the explosive growth in the use of representations & warranties insurance over the last decade has impacted M&A deals. Topics will include a brief overview of R&W insurance, discussion of the impact of adding an insurer to M&A deal negotiations, and changes in workstreams for M&A attorneys and business professionals.
