Midstream Expropriation: Regulating Unilateral Revisions to the Voting Bargain Struck at the IPO
Over the past several years, the phenomenon of pro-insider, post-IPO (“midstream”) revisions to corporate governance structures have become increasingly common, both in the U.S. and in overseas markets. In the framework of my future project, I intend to study this trend’s empirical and theoretical characteristics, to assess its implications for securities trading, and to evaluate possible regulatory responses.
