Evan Simpson is a partner in Sullivan & Cromwell LLP’s General Practice Group based in London. He advises European corporates on U.S. cap ital markets transactions—both SEC-registered and Rule 144A/Section 3(c)(7) exempt offerings—and counsels boards and executives on complex\, often cro ss-border M&A.
Evan’s recent matters include representing the FTX Deb tors in the sale of their Japan business to bitFlyer Holdings\; advising St ellantis on its $100 million anchor investment in ACG Acquisition Company L imited\; and acting for Stellantis on the sale of its Brazilian and Portugu ese cast-iron components businesses to Tupy S.A. and the agreed sale of its Mexican cast-iron components business to Cummins Inc.
On the capital markets side\, he has advised underwriters on more than C$20 billion of OM ERS Finance Trust note offerings\, and issuers including Allianz SE and UBS Group AG.
