Vanguard, BlackRock and State Street Global Advisors – the so-called "Big Three: index fund managers - now vote approximately 25% of the stock in the largest U.S. public companies. This reading group will explore what this unprecedented consolidation of corporate ownership means for corporate governance, politics, competition, and more. The readings will focus on recent legal scholarship, but will also include materials from industry, regulators, and journalists. The reading group will meet for six two-hour sessions, and participation will be graded credit/fail.
