This course focuses on the structure and characteristics of the modern business corporation, with particular attention given to problems relating to the large, publicly held company. It covers, among other topics, formation; certificate of incorporation and bylaws; limited liability; management and control rights and powers of shareholders, directors, and officers; shareholder voting; fiduciary and other duties and liabilities of officers and directors; amendments to the certificate of incorporation; and mergers and acquisitions.
Note: For upper-level JD students, this course will be included in the Multi-Section round of registration.
